TERMS AND CONDITIONS — Applicable to Artists Listing and Providing Services on the Mehndi Wala Platform

1.Introduction and Acceptance

These Terms and Conditions (“Terms”, “Terms and Conditions” or “Agreement”) govern the registration, onboarding, listing, use of Platform services and provision of Services by Artists through the Mehndi Wala Platform.

The Platform is owned and operated by Mehndi Wala Arts Pvt. Ltd. (“Company”, “Mehndi Wala”, “we”, “us” or “our”).

The Platform may include the Mehndi Wala website, mobile applications, web applications, software, Artist dashboards, Customer interfaces, communication tools, enquiry functionality, booking functionality, payment-related functionality, subscription services, portfolio tools, analytics, promotional features, AI-assisted features and other technology services made available by the Company.

By registering as an Artist, completing onboarding, creating or publishing an Artist profile, submitting KYC information, responding to or accepting an Enquiry, communicating with a Customer, purchasing a subscription, using a paid Platform feature, accepting a Booking, receiving a payment through supported Platform functionality, uploading Content, or otherwise using the Platform as an Artist, you acknowledge that you have had an opportunity to review these Terms and agree to be bound by them to the extent permitted by applicable law.

If you do not agree with these Terms, you must not register as an Artist or continue to use the Platform in the capacity of an Artist.

Where the Platform requires express electronic acceptance, including through a checkbox, button, OTP, electronic confirmation or similar mechanism, your affirmative action may constitute acceptance of these Terms, subject to applicable law.

If you act on behalf of a studio, business, partnership, company, team or other organisation, you represent and warrant that you have authority to act on behalf of and bind that entity.

2.Purpose and Scope of These Terms

These Artist Terms establish the contractual framework between the Company and an Artist in relation to:

These Terms apply specifically to Artists.

Customers may be governed by separate Customer Terms and Conditions.

Mehndi Wala operates as a technology-enabled marketplace and discovery platform intended to facilitate discovery, comparison, communication and booking between Customers and independent Artists.

5.2Independent Service Provider

The Artist is an independent service provider.

Nothing in these Terms makes an Artist an employee, worker, partner, franchisee, fiduciary or general agent of the Company.

The Company does not, merely by listing an Artist, become the employer or service provider of the Artist.

5.3Artist's Responsibility for Services

Unless expressly stated otherwise in a separate written agreement, the Artist is responsible for:

  • performing the Service;
  • Service quality;
  • artistic technique;
  • materials and products used;

  • professional conduct;
  • applicable hygiene practices;
  • lawful operation;
  • Customer communication;
  • applicable taxes;
  • applicable licences or permissions;
  • agreed pricing; and
  • compliance with applicable Booking Terms.

5.4No Automatic Certification

Artist onboarding, KYC or verification does not constitute certification, professional licensing, quality certification, skill certification, government approval, medical certification or a guarantee of Service quality.

5.5Intermediary Status

To the extent that the Company qualifies as an intermediary under applicable law, the Company may seek to rely upon protections available to eligible intermediaries, subject to satisfaction of all applicable statutory requirements and limitations.

Nothing in these Terms guarantees that any particular statutory protection, exemption or safe-harbour provision will apply in every circumstance.

The Company may modify, upgrade, suspend, replace or discontinue individual features where reasonably necessary for operational, commercial, security, technical, legal or regulatory reasons, subject to applicable law and contractual obligations already undertaken.

7.Artist Account Registration

The Artist may be required to provide accurate information during registration and onboarding.

The Artist must not:

  • create an account using false information;
  • impersonate another person;
  • use another Artist's identity;
  • create accounts using unauthorised business information;
  • submit fraudulent KYC information; or
  • deliberately conceal information required for legitimate Platform purposes.

The Company may refuse or restrict registration where reasonably necessary for security, fraud prevention, legal compliance, marketplace integrity or other legitimate reasons.

8.Account Security

The Artist is responsible for maintaining the confidentiality and security of the Artist's account credentials, OTP access and other authentication mechanisms.

The Artist must promptly notify the Company if the Artist reasonably suspects:

  • unauthorised account access;
  • account takeover;
  • misuse of credentials;
  • fraudulent activity; or
  • security compromise.

The Company may temporarily restrict access where reasonably necessary to protect the Artist, Customers, Platform or third parties.

9.Artist Onboarding

The Company may require completion of onboarding before certain Platform features become available.

Onboarding requirements may vary depending on:

  • Artist type;
  • Service category;
  • location;
  • payment functionality;
  • regulatory requirements;
  • Platform risk controls;
  • subscription plan;
  • fraud prevention requirements; and
  • other legitimate operational considerations.

10.KYC and Verification

The Company may request information reasonably necessary for identity verification, marketplace integrity, payment processing, fraud prevention, security, taxation or legal compliance.

Such information may include, where applicable:

The Company may use authorised third-party service providers to assist with verification.

The Artist authorises the Company to process such information in accordance with the Privacy Policy and applicable law.

11.Accuracy of KYC Information

The Artist represents that all KYC and verification information submitted is:

  • genuine;
  • accurate;
  • current;
  • complete to the extent required; and
  • lawfully provided.

The Artist must not submit:

  • forged documents;
  • altered documents;
  • borrowed identity documents;
  • another person's documents without authority;
  • false business information; or
  • misleading information.

The Company may restrict or suspend an account where required verification cannot reasonably be completed or where submitted information appears fraudulent, inconsistent or materially inaccurate.

12.Artist Verification Status

Where the Platform displays a verification badge or status, the meaning of that status shall be determined by the applicable Platform verification process.

Unless expressly stated otherwise, verification means only that the Company has completed specified verification checks.

Verification does not guarantee:

  • skill level;
  • artistic quality;
  • hygiene;
  • product safety;
  • punctuality;
  • Customer satisfaction;
  • availability;
  • pricing;
  • legal compliance beyond the scope of the verification;
  • professional qualification; or
  • future performance.

13.Artist Profile

An Artist profile may include:

  • Artist name;
  • profile photograph;
  • portfolio;
  • Service categories;
  • Service descriptions;
  • pricing;
  • service area;
  • location;
  • experience information;
  • reviews;
  • ratings;
  • availability;
  • business information;
  • response information; and
  • other information permitted by the Platform.

The Artist is responsible for keeping the profile accurate, current and non-misleading.

The Company may format, categorise, moderate, display, rearrange, correct or remove profile information where reasonably necessary.

14.Portfolio and Service Information

Artists must ensure that their Service descriptions and portfolio information accurately represent the Services they provide.

Artists must not:

  • use another Artist's portfolio without permission;
  • represent another person's work as their own;
  • use misleading before-and-after images;
  • make false claims regarding experience or qualifications;
  • misrepresent prices;
  • falsely claim awards, certifications or affiliations; or
  • otherwise materially mislead Customers.

Where photographs or videos contain identifiable persons, the Artist must obtain appropriate permissions where required by law.

15.Artist Service Responsibilities

The Artist is responsible for delivering the Service substantially in accordance with the applicable Booking Terms.

Where applicable, the Artist should:

  • arrive at the agreed location at the agreed time;
  • provide the agreed Service;
  • use suitable and lawful materials;
  • maintain reasonable hygiene and professional standards;
  • communicate material Service limitations;
  • disclose relevant product or material information where reasonably necessary;
  • comply with Customer-specific agreed requirements;
  • maintain professional behaviour;
  • respect Customer privacy;
  • comply with applicable law; and
  • maintain appropriate records relating to the Booking.

16.Materials, Products and Service Safety

The Artist is responsible for materials and products used in providing Services.

The Artist must use lawful and reasonably suitable products and must comply with applicable product-safety requirements.

The Artist should communicate relevant information regarding materials where reasonably necessary for the Customer to make an informed decision.

Customers may have allergies, sensitivities or individual reactions. Artists should not make medical claims or provide medical advice unless appropriately qualified and legally permitted.

17.Customer Information Provided to the Artist

The Artist may receive Customer information necessary to respond to Enquiries or provide Services.

The Artist must use Customer information only for legitimate purposes connected with:

  • responding to the Enquiry;
  • arranging the Booking;
  • providing the Service;
  • necessary Customer support; or
  • other purposes permitted by applicable law and the Platform's policies.

The Artist must not:

  • sell Customer information;
  • disclose Customer information unnecessarily;
  • use Customer information for unrelated marketing without appropriate legal basis or consent;
  • upload Customer information to unauthorised databases;
  • harass Customers;
  • contact Customers excessively; or
  • use Customer information to circumvent Platform controls.

The Artist remains responsible for handling Customer information lawfully.

18.Enquiries

An Enquiry is a Customer request for information, availability, pricing or possible Service.

An Enquiry does not automatically constitute:

  • a Booking;
  • a payment obligation;
  • guaranteed Customer acceptance;
  • guaranteed Artist availability; or
  • guaranteed revenue.

An Artist may accept, decline or respond to an Enquiry in accordance with Platform functionality and applicable law.

Artists should provide material Booking information clearly before the Booking is treated as confirmed.

19.Booking Process

A Booking may generally involve:

  • Customer discovery of an Artist;
  • profile and portfolio review;
  • Enquiry or booking request;
  • communication regarding requirements;
  • price and Booking Terms;
  • availability confirmation;
  • Customer acceptance;
  • applicable advance payment;
  • payment processing;
  • Platform confirmation; and

Service performance.

The exact workflow may differ depending on the Platform functionality available at the relevant time.

20.Booking Confirmation

A Booking is considered confirmed only when the Platform expressly displays a confirmed status, Booking ID, confirmation record or other official confirmation under the applicable Platform workflow.

Payment success alone does not necessarily constitute Booking Confirmation.

If payment is successful but the Booking does not show as confirmed, the Artist should not assume that the Booking has been conclusively confirmed until the applicable Platform confirmation is issued.

The Company may investigate duplicate, failed, delayed, incomplete or incorrectly processed transactions.

21.Booking Terms

Before a Booking is confirmed, the applicable terms should clearly identify, where relevant:

  • Artist;
  • Customer;
  • Service;
  • date;
  • time;
  • venue;
  • location;
  • number of persons or service quantity;
  • design requirements;
  • total price;
  • advance;
  • balance;
  • taxes;
  • travel charges;
  • additional charges;
  • Service duration;
  • cancellation policy;
  • rescheduling policy;
  • refund terms; and
  • other material conditions.

The Artist must not knowingly conceal material charges or conditions from the Customer.

22.Price Transparency

Artists are responsible for providing accurate pricing information.

Where a price is shown as a starting price, approximate price, package price or price subject to requirements, the applicable basis should be clear.

Any material additional charge should, where reasonably practicable, be disclosed before Booking Confirmation.

23.Advance Payment

Where an advance payment is required, the applicable amount shall be determined by the relevant Booking Terms.

There is no universal advance percentage applicable to all Artist Bookings unless expressly established by the Platform.

The Artist must not falsely represent an advance payment as a Company-mandated percentage where no such universal rule exists.

24.Balance Payment

Where a balance remains payable after the advance, the Customer shall pay the balance in accordance with the applicable Booking Terms.

The Artist should maintain appropriate payment records.

Any additional amount requested after Booking Confirmation should be consistent with the Booking Terms unless the Customer expressly agrees to a legitimate additional Service or applicable change.

25.Payment Processing

Payments may be processed through third-party payment service providers.

The Company may receive transaction information necessary for payment processing, reconciliation, support, fraud prevention, accounting and legal compliance.

Payment processing may be subject to:

  • authentication;
  • banking procedures;
  • payment-provider rules;
  • transaction limits;
  • security checks;
  • refund processing;
  • chargebacks; and
  • applicable law.

The Company does not become a bank or financial institution merely because payment functionality is available through the Platform.

26.Platform Fees and Artist Commercial Terms

Depending on the applicable commercial model, Artists may be charged for:

  • Subscription plans;
  • booking-related Platform fees;
  • commissions;
  • Boosted Placement;
  • promotional services;
  • premium features;
  • software/business-management features; or
  • other paid Platform services.

The applicable amount shall be communicated through the relevant Platform interface, order summary, subscription page, invoice, commercial communication or other applicable disclosure.

The Company shall not be deemed to have guaranteed any particular number of:

  • Enquiries;
  • Bookings;
  • Customers;
  • revenue;
  • impressions;
  • profile views; or
  • ranking positions
  • merely because an Artist purchases a subscription or promotional feature.

27.Subscriptions

Where an Artist purchases a Subscription, the applicable Subscription Terms shall specify, where relevant:

  • plan;
  • price;
  • billing period;
  • features;
  • renewal conditions;
  • applicable taxes;
  • cancellation conditions;
  • upgrade/downgrade conditions; and
  • other applicable commercial terms.

Subscription benefits are subject to the applicable plan and Platform functionality.

The Company may change future Subscription pricing prospectively, subject to applicable law and the applicable commercial terms.

28.Boosted Placement and Promotional Services

The Company may offer paid promotional features that provide enhanced visibility.

Boosted Placement:

  • does not guarantee a Booking;
  • does not guarantee a particular ranking;
  • does not certify Artist quality;
  • does not guarantee Customer satisfaction;
  • does not guarantee a minimum number of Enquiries; and
  • does not guarantee revenue.

Where appropriate, promotional placements may be identified as promoted, sponsored, boosted or otherwise commercially supported.

29.Search Results and Ranking

Artist search results may be determined using multiple factors, including:

  • relevance;
  • location;
  • service category;
  • Customer preferences;
  • availability information;
  • profile completeness;
  • reviews;
  • ratings;
  • responsiveness;
  • Platform eligibility;
  • historical Platform signals;
  • commercial features;
  • promotional placement; and
  • technical or operational considerations.

The Company may modify ranking and recommendation systems over time.

No Artist is entitled to a permanent or guaranteed position in search results.

30.Travel and Additional Charges

Artists may charge reasonable additional amounts for travel or other Services where legally permitted and applicable.

Such charges should be clearly disclosed and agreed before Booking Confirmation where reasonably practicable.

An Artist must not describe a location as “outstation” or apply a travel charge in a misleading manner.

Service area, locality, venue, travel distance and geographic classification may be different concepts.

31.Cancellation

Cancellation rights shall be governed by:

  • applicable mandatory law;
  • specific Booking Terms;
  • applicable Cancellation and Refund Policy; and
  • other specific terms applicable to the Booking.

The consequences of cancellation may depend on:

  • time of cancellation;
  • advance paid;
  • reason for cancellation;
  • Service date;
  • replacement availability;
  • Artist policy;
  • Customer policy;
  • Platform policy; and
  • applicable law.

32.Rescheduling

Rescheduling is subject to Artist availability and the applicable Booking Terms.

An Artist should not unreasonably change a confirmed Booking without communicating with the Customer and using the applicable Platform process where available.

Any material change to:

  • date;
  • time;
  • location;
  • Service scope;
  • price; or
  • other material Booking Terms
  • should be communicated clearly and documented where possible.

33.Refunds

Where a refund becomes applicable, the amount and timing may depend on:

  • Booking Terms;
  • Cancellation and Refund Policy;
  • reason for cancellation;
  • payment status;
  • payment provider procedures;
  • bank processing;
  • chargebacks; and
  • applicable law.

Nothing in these Terms removes a refund or remedy that is mandatory under applicable law.

34.Chargebacks and Payment Disputes

If a Customer initiates a chargeback or payment dispute, the Company may provide relevant transaction information and records to the applicable payment provider or financial institution.

The Company may temporarily restrict an Artist Account where reasonably necessary to investigate suspected:

  • fraud;
  • payment abuse;
  • duplicate transactions;
  • unauthorised transactions;
  • manipulation; or
  • other payment-related misconduct.

Where an Artist receives money that is later determined to have been paid incorrectly, fraudulently or without entitlement, the Company may seek recovery or adjustment to the extent permitted by applicable law.

35.Off-Platform Communication and Transactions

Artists and Customers may communicate outside the Platform where legally and technically permitted.

However, the Artist acknowledges that the Company may not have access to:

  • external messages;
  • external calls;
  • cash payments;
  • external payment records;
  • external agreements; or
  • other off-Platform communications.

Consequently, Platform records, payment protections, dispute assistance and other Platform mechanisms may not apply to transactions completed entirely outside the Platform.

Artists must not use off-Platform arrangements for the purpose of intentionally circumventing applicable Platform fees, commissions, subscriptions or other contractual obligations.

36.Platform Chat and Important Communications

Where Platform Chat or other communication functionality is available, Artists should use it for material Booking information.

Platform communications may be stored or processed in accordance with the Privacy Policy and applicable law.

The Company may use Platform records to:

  • support Customers and Artists;
  • investigate disputes;
  • detect fraud;
  • protect Platform security;
  • enforce policies; and
  • comply with legal requirements.

37.Reviews and Ratings

Eligible Customers or Users may be permitted to submit reviews and ratings.

Reviews should reflect genuine experiences.

Artists must not:

  • create fake reviews;
  • purchase fake reviews;
  • manipulate ratings;
  • impersonate Customers;
  • threaten Customers for negative reviews;
  • offer prohibited incentives for reviews;
  • coordinate fraudulent rating campaigns; or
  • manipulate reviews relating to competing Artists.

The Company may moderate, remove, restrict or investigate reviews where reasonably necessary under Platform policies or applicable law.

A “verified” review or verification indicator, where used, means only that the Platform has verified the particular fact specified by that indicator. It does not necessarily mean that the Company endorses the review or guarantees the underlying experience.

38.User-Generated Content

Artists retain ownership of Content they lawfully own.

By submitting Content to the Platform, the Artist grants the Company a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format, display, communicate, distribute and use the Content for purposes reasonably connected with:

  • operating the Platform;
  • displaying Artist profiles;
  • providing Platform Services;
  • improving Platform functionality;
  • security and fraud prevention;
  • customer support;
  • analytics;
  • marketing and promotion of the Platform; and
  • related legitimate business purposes,
  • subject to applicable law and the Privacy Policy.

This licence does not transfer ownership of the Artist's underlying intellectual property.

The Company may use technical transformations necessary to display Content across devices, formats or Platform interfaces.

39.Artist Warranties Regarding Content

By submitting Content, the Artist represents that:

  • the Artist owns the Content or has sufficient rights to use it;
  • the Artist has obtained required permissions;
  • the Content does not knowingly infringe third-party rights;
  • the Content is not fraudulent or materially misleading;
  • the Content does not contain unlawful material; and
  • the Content does not knowingly violate another person's privacy or publicity rights.

The Artist remains responsible for Content supplied by the Artist.

40.Portfolio Images and Customer Privacy

Artists should obtain appropriate consent or permission before publishing photographs or videos that identify Customers or other individuals where required by law.

Artists must not publicly publish sensitive Customer information merely because the Artist obtained access to it through a Booking.

The Company may remove or restrict portfolio Content following:

  • a valid legal complaint;
  • privacy complaint;
  • intellectual property complaint;
  • court or governmental direction;
  • violation of Platform rules; or
  • other legitimate safety or legal concern.

41.Intellectual Property of Mehndi Wala

The Platform and its proprietary components may include:

  • software;
  • source code;
  • interface design;
  • databases;
  • logos;
  • brand elements;
  • graphics;
  • text;
  • layouts;
  • systems;
  • workflows;
  • algorithms;
  • trademarks;
  • service marks;
  • documentation; and
  • other proprietary materials.

Such materials are owned by or licensed to the Company unless otherwise stated.

Except as expressly permitted by law or by the Company in writing, an Artist must not:

  • copy;
  • reproduce;
  • modify;
  • distribute;
  • sell;
  • lease;
  • commercially exploit;
  • reverse engineer;
  • scrape;
  • extract;
  • create derivative works from; or
  • misuse
  • the Company's proprietary materials.

42.Brand and Trademark Use

The Artist must not represent that the Artist is:

  • an employee of Mehndi Wala;
  • an official representative of the Company;
  • an authorised franchisee;
  • a Company-certified professional; or
  • otherwise formally affiliated with the Company
  • unless the Company has expressly authorised such representation.

The Artist may not use the Mehndi Wala brand, logo or other brand assets outside permitted Platform use without appropriate authorisation.

43.Intellectual Property Complaints

A person who believes that Content on the Platform infringes copyright, trademark, privacy, publicity or other legal rights may submit a complaint containing sufficient information for the Company to assess the issue.

The Company may:

  • investigate;
  • contact the relevant parties;
  • restrict Content;
  • remove Content;
  • request additional information; or
  • take other action appropriate under applicable law.

44.Ai-Assisted Features

The Platform may use AI-assisted technology for purposes including:

  • conversational assistance;
  • search;
  • recommendations;
  • profile discovery;
  • Service categorisation;
  • summaries;
  • comparisons;
  • design discovery;
  • Customer support; and
  • other Platform functionality.

AI-generated outputs may contain errors, omissions or outdated information.

Artists must not rely on an AI-generated statement as definitive confirmation of:

  • Customer demand;
  • Booking;
  • price;
  • payment;
  • availability;
  • revenue;
  • ranking;
  • Customer intent; or
  • contractual status
  • unless the Platform expressly confirms the relevant information.

AI tools do not guarantee Customer acquisition, bookings, income or business performance.

45.Availability Information

Artists are responsible for keeping their availability information reasonably accurate.

Availability may change rapidly.

An availability indication does not constitute a confirmed Booking unless the applicable Platform workflow expressly confirms the Booking.

Artists should promptly update or communicate material changes to availability.

Repeatedly accepting Bookings while knowingly unavailable may constitute a violation of these Terms.

46.Customer Service and Professional Conduct

Artists must communicate with Customers professionally.

Artists must not engage in:

  • harassment;
  • threats;
  • intimidation;
  • discriminatory abuse;
  • sexual harassment;
  • stalking;
  • abusive communications;
  • coercion;
  • extortion;
  • fraudulent demands;
  • unreasonable repeated contact; or
  • other unlawful or harmful behaviour.

The Company may take appropriate Platform-level action where such conduct is reported or detected.

47.Customer Safety

An Artist may refuse or discontinue a Service where reasonably necessary because of:

  • unsafe conditions;
  • harassment;
  • threats;
  • unlawful conduct;
  • serious venue safety concerns;
  • circumstances materially different from the agreed Booking; or
  • other legitimate safety reasons,
  • subject to applicable law and the applicable Booking Terms.

Where reasonably practicable, the Artist should notify the Customer and Platform Support promptly.

48.Prohibited Conduct

An Artist must not use the Platform to:

  • violate applicable law;
  • commit fraud;
  • create fake accounts;
  • submit false KYC information;
  • impersonate another person;
  • create fake Enquiries or Bookings;
  • manipulate reviews or ratings;
  • misuse promotional offers;
  • upload unlawful Content;
  • upload malware or malicious code;
  • gain unauthorised access;
  • scrape or systematically extract Platform data without permission;
  • reverse engineer the Platform except where legally permitted;
  • manipulate search or ranking systems;
  • misuse Customer information;
  • sell or misuse Platform-derived personal data;
  • circumvent Platform Fees or security controls;
  • falsely claim Company endorsement;
  • misrepresent qualifications or certifications;
  • harass or threaten another User;
